1. Who These Terms Apply To
These terms and conditions govern the relationship between Crest Workforce Services Ltd, a company registered in England and Wales under Company Number 17185271, with a registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, referred to in these terms as “Crest”, “we”, “us”, or “our”, and any business or individual who engages our services or uses our website, referred to as “you”, “the client”, or “the customer”.
By engaging our services or using our website, you agree to these terms. If you do not agree, you should not use our services or website.
For candidates registering through our job seekers portal, separate candidate terms apply and are presented at the point of registration.
2. Our Services
We provide staffing and recruitment services including temporary staffing, permanent placement, and emergency workforce cover. We provide commercial cleaning services for offices, warehouses, healthcare facilities, and commercial premises. We provide road freight transport services across the United Kingdom.
The specific scope, terms, and pricing of any service engagement will be confirmed in a separate service agreement or written confirmation between us and the client.
3. Engaging Our Services
A service agreement begins when we confirm in writing that we will provide a service to you and you confirm your acceptance of the terms of that engagement. Written confirmation includes email correspondence.
We reserve the right to decline to provide services to any person or business at our discretion.
By engaging our services, you confirm that you have the authority to enter into a binding agreement on behalf of your organisation where applicable.
4. Fees and Payment
Our fees for each service engagement will be confirmed in your service agreement or written quotation.
Unless otherwise agreed in writing, invoices are due and payable within thirty days of the invoice date.
If payment is not received by the due date, we reserve the right to charge interest on the outstanding amount in line with the Late Payment of Commercial Debts (Interest) Act 1998, currently at the statutory rate of 8% above the Bank of England base rate. We also reserve the right to charge reasonable debt recovery costs.
If payment is not received and we are unable to resolve the matter with you, we may suspend or terminate the service.
All fees quoted are exclusive of VAT unless otherwise stated. VAT will be applied at the rate applicable at the time of invoicing.
5. Staffing and Recruitment: Additional Terms
Temporary staffing. Where we supply temporary workers to your business, those workers remain employed or engaged by Crest. You are responsible for the day-to-day supervision and management of those workers while they are on your premises. You must provide a safe working environment in line with all applicable health and safety legislation.
Permanent placement. Where we introduce a candidate to you and you subsequently hire that candidate as a permanent employee, our placement fee becomes payable in accordance with the terms of your service agreement. This applies whether the hire occurs immediately following our introduction or within twelve months of that introduction.
Introduction fees on temporary-to-permanent conversion. If a temporary worker we supply to you is subsequently engaged by you on a permanent basis, whether as an employee or on an independent basis, our introduction fee becomes payable. This applies where the engagement takes place within twelve months of the end of the temporary placement.
Client obligations. You must provide accurate information about the role, the working environment, and any specific requirements when requesting workers. You agree to treat workers supplied by Crest with respect and in line with all applicable employment and equality legislation. If you become aware of any conduct or situation involving a placed worker that requires our attention, you must notify us promptly.
Worker suitability. We take care in screening and selecting workers, but we cannot guarantee that any particular worker will meet every specific requirement of your business. If you are not satisfied with a placed worker, notify us as soon as possible and we will work with you to address the situation.
6. Commercial Cleaning: Additional Terms
Scope of service. The specific cleaning schedule, premises, standards, and frequency will be confirmed in your service agreement. Any changes to the agreed scope must be confirmed in writing by both parties.
Access. You must provide our cleaning teams with safe and reasonable access to the premises at the agreed times. If access is not available and we are not given reasonable advance notice, we reserve the right to charge for the scheduled visit.
Specialist cleaning. Where specialist or deep cleaning services are required, these will be quoted separately and are subject to a separate confirmation.
7. Road Freight Transport: Additional Terms
Goods. You are responsible for ensuring that goods are properly described, adequately packaged, and lawful to transport on the public road network. You must inform us of any special handling requirements before the job begins.
Prohibited goods. We will not transport goods that are illegal, hazardous, or prohibited from road transport under UK law. You warrant that no such goods will be presented to us for transportation.
Liability for goods. We take reasonable care of goods in our custody. Our liability for loss or damage to goods is limited to the terms set out in your service agreement. We are not liable for losses that arise from circumstances outside our reasonable control, including but not limited to road closures, accidents involving third parties, or extreme weather conditions.
Delivery times. We will make every reasonable effort to meet agreed delivery times. We are not liable for delays caused by circumstances outside our control. Where a delay is foreseeable, we will notify you as soon as possible.
8. Your Obligations as a Client
You agree to provide accurate and complete information to enable us to deliver our services properly. You agree to cooperate with us in a timely way throughout the service engagement. You agree to ensure that any premises, equipment, or access we need to perform our services meets the required health and safety standards. You agree to inform us promptly of any circumstances that may affect the delivery of our services.
9. Our Obligations
We will deliver our services with reasonable skill and care. We will communicate with you in a clear and timely way. We will address concerns and complaints promptly. We will comply with all applicable laws and regulations in the delivery of our services.
10. Limitation of Liability
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
Subject to the above, our total liability to you in connection with any service engagement, whether in contract, tort, or otherwise, will not exceed the total fees paid by you to us in the three months prior to the event giving rise to the claim.
We are not liable for any indirect or consequential losses, including loss of profit, loss of business, loss of data, or damage to reputation, even if we were advised that such losses were possible.
11. Intellectual Property
All content on our website, including text, design, and images, is owned by or licensed to Crest Workforce Services Ltd. You may not reproduce, distribute, or use any of this content without our written permission.
12. Confidentiality
Both parties agree to keep confidential any information shared in the course of a service engagement that is identified as confidential or that would reasonably be understood to be confidential in nature. This obligation does not apply to information that is publicly available, that was already known to the receiving party, or that must be disclosed by law.
13. Data Protection
Both parties agree to comply with all applicable UK data protection legislation in connection with any personal data processed as part of or in connection with the services. Please refer to our Privacy Policy for details of how we process personal data.
14. Termination
Either party may terminate a service agreement by giving written notice in accordance with the notice period stated in that agreement.
Either party may terminate with immediate effect if the other party commits a material breach of these terms and fails to remedy that breach within fourteen days of written notice, or if the other party becomes insolvent or enters administration.
On termination, all outstanding fees become immediately payable.
15. Force Majeure
We will not be in breach of these terms or liable for any delay or failure to perform our obligations where that delay or failure results from events outside our reasonable control, including but not limited to natural disasters, government action, industrial disputes, or failures of third party infrastructure. If such an event occurs, we will notify you as soon as possible and both parties will work in good faith to find a reasonable solution.
16. Changes to These Terms
We may update these terms from time to time. Updated terms will be posted on our website with the revised date. Continued use of our services after updated terms have been posted constitutes acceptance of those terms.
17. Governing Law and Jurisdiction
These terms and any dispute arising from them are governed by the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.
18. Entire Agreement
These terms, together with your service agreement, constitute the entire agreement between you and Crest Workforce Services Ltd in relation to the relevant services. They supersede all previous discussions, representations, or agreements relating to the same subject matter.
